1. Purpose

STAGENCY connects event organisers (the Organiser) with independent artists (the Artist). Depending on the engagement, the agency acts either as an intermediary in the name and on behalf of the Artist (model A, mediation) or as a provider selling the performance on its own account (model B, own account). The applicable model is stated on the offer and the contract.

2. Enquiry, offer, option

Every enquiry is free and non-binding. The agency replies within two working days with a proposal of available artists. An option holds a date for the stated period; without written confirmation it lapses automatically.

3. Confirmation and contract

The engagement becomes binding when the contract is signed by the Organiser and, depending on the model, the Artist or the agency. The contract states date, venue, schedule, performance, fee, expenses, any commission charged to the Organiser, deposit and payment terms. The specific notes of the event country apply.

4. Prices and invoicing

Prices exclude VAT unless stated otherwise. Under model A the Artist invoices the fee to the Organiser and the agency invoices its commission separately; under model B the agency invoices the complete performance. The deposit is due on signature, the balance by the date stated on the invoice. Agreed travel, accommodation and technical costs are charged in addition.

5. Obligations of the Organiser

The Organiser provides a venue that meets the technical rider, the necessary permits, safety for audience and artists, and declares any copyright fees (SACEM Luxembourg) related to the event. Before and during preparation, the Organiser communicates with the Artist exclusively through the agency.

6. Cancellation by the Organiser

Written cancellation more than 60 days before the event: no charge apart from any non-refundable deposit provided for in the contract. Between 60 and 30 days: the deposit is retained. Less than 30 days: the full price remains due. A postponement accepted by the Artist and the agency is not a cancellation.

7. Artist unavailability and force majeure

If the Artist is prevented from performing (illness, accident, force majeure), the agency offers a replacement of equivalent quality; failing agreement, sums paid are refunded without further compensation. Force majeure events (administrative bans, weather making the performance impossible, strikes) release both parties from their obligations for the date concerned.

8. Liability

The liability of Innovity sàrl-s is limited to the amount of its commission (model A) or the price of the performance (model B). It is not liable for indirect damage or for the artistic content of performances, which is the Artist's responsibility.

9. Data and communication

Data is processed in accordance with the privacy policy published on this site. The Organiser allows its name to be mentioned as a reference unless it expressly objects, which it may do at any time.

10. Governing law and jurisdiction

These terms are governed by Luxembourg law. Any dispute falls under the courts of the Grand Duchy of Luxembourg after an attempt at amicable settlement.
